Terms of Service

1. Agreement to Terms

By accessing Trade-IQ, LLC's services, users consent to these Terms. Disagreement with any provision denies service access.

2. Services Provided

Trade-IQ offers international trade compliance advisory services including:

  • •Fractional trade compliance leadership and support
  • •Managed trade services and operations
  • •Compliance audits and assessments
  • •Harmonized System (HS) code classification
  • •Duty mitigation and optimization strategies
  • •Trade compliance training and education
  • •Regulatory advisory and consultation

Services are advisory only, not legal counsel. Clients bear responsibility for compliance decisions.

3. Client Responsibilities

Clients agree to provide accurate information, maintain credential confidentiality, comply with laws, pay fees timely, cooperate with documentation requests, and notify Trade-IQ of concerns promptly.

4. Intellectual Property Rights

Trade-IQ retains ownership of all reports, analyses, methodologies, tools, and documentation. Clients retain ownership of their proprietary data, treated as confidential and used solely for service delivery.

5. Confidentiality

Both parties maintain confidentiality of proprietary information, surviving termination. Exceptions include publicly available information, rightfully obtained third-party data, legally required disclosures, and independently developed information.

6. Payment Terms

Invoices are due within 30 days unless otherwise specified.

Late payments incur 1.5% monthly interest (or maximum legal rate).

Trade-IQ may suspend overdue accounts.

All fees are non-refundable unless specified otherwise.

7. Limitation of Liability

Trade-IQ disclaims liability for indirect, incidental, special, consequential, or punitive damages. Aggregate liability cannot exceed amounts paid for the specific service during the preceding twelve months.

8. Disclaimer of Warranties

Services are provided "as is" without warranties of merchantability or fitness. Trade-IQ doesn't guarantee uninterrupted, error-free, or completely secure service, nor specific results.

9. Indemnification

Clients indemnify Trade-IQ against claims arising from service access, Terms violations, third-party rights violations, or representation breaches.

10. Termination

Either party may terminate with 30 days' written notice.

Trade-IQ may terminate immediately for Terms breach, non-payment, illegal activity, or reputation-damaging behavior.

Outstanding fees become immediately due upon termination.

11. Governing Law and Dispute Resolution

Wisconsin law governs these Terms. Disputes proceed through good faith negotiation, then binding arbitration under American Arbitration Association rules.

12. Modifications to Terms

Trade-IQ may modify Terms anytime. Material changes require 30 days' notice. Continued service use constitutes acceptance.

13. Severability

Invalid provisions don't affect remaining Terms enforceability.

14. Entire Agreement

These Terms plus individual service agreements constitute the complete agreement, superseding prior understandings.
